The most current version of the Terms of Use will supersede all previous versions.
Description Of Services
The Himalayan Institute (“HI,” “Living Tantra,” “we,” or “us”) provides the most comprehensive eastern studies programs available today. Participants have access to purchased seminar events presented in person, online video service offering the purchased content, bonus clips, and other content (collectively, the “Content”). The Content is available for permissible viewing on (i) the staging.himalayaninstitute.org website (the “Himalayan Institute Website”), (ii) The Himalayan Institute’s affiliate and distributor websites (the “Distribution Sites”), and (iii) other websites where users or website operators are permitted to embed Living Tantra’s video player (the “Video Player”), subject to compliance with these Terms of Use (these websites, together with the Himalayan Institute Site, Living Tantra Site, and Distribution Sites, are referred to collectively as the “Sites”).
The Content is available also for permissible viewing through Himalayan Institute authorized applications or features, subject to compliance with these Terms of Use and any end user license agreement that might accompany an application or feature. Our video service, our Video Player, and any other features, tools, applications, materials, or other services offered from time to time by HI in connection with its business on any of the Sites are referred to collectively as the ” Himalayan Institute Website Services.” We are a company based in the United States.
Access And Use Of The Himalayan Institute Website Services
The Content
You may only access and view the Content personally and for a non-commercial purpose in compliance with these Terms. You may not either directly or through the use of any device, software, Internet site, web-based service or other means remove, alter, bypass, avoid, interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on the Content, or any digital rights management mechanism, device, or other content protection or access control measure associated with the Content including geo-filtering mechanisms. You may not either directly or through the use of any device, software, Internet site, web-based service or other means copy, download, stream capture, reproduce, duplicate, archive, distribute, upload, publish, modify, translate, broadcast, perform, display, sell, transmit or retransmit the Content unless expressly permitted by The Himalayan Institute in writing. You may not incorporate the Content into, or stream or retransmit the Content via, any hardware or software application or make it available via frames or in-line links. Furthermore, you may not create, recreate, distribute or advertise an index of any significant portion of the Content unless authorized by the Himalayan Institute. You may not build a business utilizing the Content, whether or not for profit. The Content covered by these restrictions includes without limitation any text, graphics, layout, interface, logos, photographs, audio and video materials, and stills. In addition, you are strictly prohibited from creating derivative works or materials that otherwise are derived from or based on in any way the Content, including montages, mash-ups and similar videos, wallpaper, desktop themes, greeting cards, and merchandise, unless it is expressly permitted by the Himalayan Institute in writing. This prohibition applies even if you intend to give away the derivative materials free of charge.
The Video Player
You may not modify, enhance, remove, interfere with, or otherwise alter in any way, any portion of the Video Player, its underlying technology, any digital rights management mechanism, device, or other content protection or access control measure incorporated into the Video Player. This restriction includes, without limitation, disabling, reverse engineering, modifying, interfering with or otherwise circumventing the Video Player in any manner that enables users to view the Content without: (i) displaying visibly both the Video Player and all surrounding elements (including the graphical user interface, any advertising, copyright notices, and trademarks) of the webpage where the Video Player is located; and (ii) having full access to all functionality of the Video Player, including, without limitation, all video quality and display functionality and all interactive, elective or click-through advertising functionality.
Embedding a Video Using the Video Player
You may embed select videos using the Video Player, provided you do not embed the Video Player on any website or other location that (i) contains or hosts content that is unlawful, infringing, pornographic, obscene, defamatory, libelous, threatening, harassing, vulgar, indecent, profane, hateful, racially or ethnically offensive, encourages criminal conduct, gives rise to civil liability, violates any law, rule, or regulation, infringes any right of any third party including intellectual property rights, is otherwise inappropriate or objectionable to the Himalayan Institute (in the Himalayan Institute’s sole discretion), or (ii) links to infringing or unauthorized content (collectively, “Unsuitable Material”). You may not embed the Video Player into any hardware or software application, even for non-commercial purposes. The Himalayan Institute reserves the right to prevent embedding to any website or other location that the Himalayan Institute finds inappropriate or objectionable (as determined by the Himalayan Institute in its sole discretion).
Ownership
You agree that the Himalayan Institute owns and retains all rights to the Himalayan Institute Website Services. You further agree that the Content you access and view as part of the Himalayan Institute Website Services is owned or controlled by The Himalayan Institute. All Himalayan Institute Website Services and the Content are protected by copyright, trademark, and other intellectual property laws.
Your Responsibilities
In order for us to keep the Himalayan Institute Website Services safe and available for everyone to use, we all have to follow the same rules of the road. In general, you and other users must use the Himalayan Institute Website Services for lawful, non-commercial, and appropriate purposes only. Your commitment to this principle is critical. You agree to observe the Content, Video Player, and embedding restrictions detailed above, and further agree that you will not access the Himalayan Institute Website or use the Himalayan Institute Website Services in a way that:

- introduces viruses or any other computer code, files, or programs that interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
- damages, disables, overburdens, impairs, or gains unauthorized access to the Himalayan Institute Website Services, including the Himalayan Institute’s servers, computer network, or user accounts;
- removes, modifies, disables, blocks, obscures, or otherwise impairs any advertising in connection with the Himalayan Institute Website Services;
- uses the Himalayan Institute Website Services to advertise, promote, or assist in any way a competing service either directly or indirectly with the aid and assistance of any third party;
- collects personally identifiable information in violation of the Himalayan Institute’s Privacy Policy;
- encourages conduct that would constitute a criminal offense or give rise to civil liability;
- violates these Terms or any guidelines or policies posted by the Himalayan Institute;
- interferes with any other party’s use and enjoyment of the Himalayan Institute Website Services; or
- attempts to do any of the foregoing.
Liquidated Damages
If you the user are found to have used the Himalayan Institute Website Services to advertise, promote or assist in any way a competing service either directly or with the aid and assistance of any third party then you and the user shall be liable for liquidated damages in the amount of US$1,000,000.00 to the Himalayan Institute. You the user and we the Himalayan Institute agree and acknowledge that calculation of the damages from a breach would be difficult to estimate accurately and that the foregoing dollar amount is a reasonable approximation thereof and is intended as the fair allocation and liquidation of damages and not as a penalty against you the user. You the user and we the Himalayan Institute further acknowledge and agree that such liquidated damages shall be the sole and exclusive recovery to which Himalayan Institute will be entitled and in no event will either party be liable to the other for consequential or special damages.
No Spam/Unsolicited Communications
We know how annoying and upsetting it can be to receive unwanted email or instant messages from people you do not know. Therefore, no one may use the Himalayan Institute Website Services to harvest information about users for the purpose of sending, or to facilitate or encourage the sending of, unsolicited bulk or other communications. You understand that we may take any technical remedies to prevent spam or unsolicited bulk or other communications from entering, utilizing, or remaining within our computer or communications networks. If you Post or otherwise send spam, advertising, or other unsolicited communications of any kind through the Himalayan Institute Website Services, you acknowledge that you will have caused substantial harm to the Himalayan Institute and that the amount of such harm would be extremely difficult to measure. As a reasonable estimation of such harm, you agree to pay the Himalayan Institute $50 for each such unsolicited communication you send through the Himalayan Institute Website Services.
Downloads
In order to participate in certain Himalayan Institute Website Services, you may be notified that it is necessary to download software or other materials or agree to additional terms and conditions. Unless otherwise provided by these additional terms and conditions, they are hereby incorporated into these Terms.
Suspension/Discontinuation
We hope not to, but we may change, suspend, or discontinue — temporarily or permanently — some or all of the Himalayan Institute Website Services with respect to any or all users, at any time without notice. You acknowledge that The Himalayan Institute may do so in The Himalayan Institute’s sole discretion. Upon cancellation, you may be given a prorated or complete refund at the discretion of the Himalayan Institute.

Software and the transmission of applicable technical data, if any, in connection with the Himalayan Institute Website Services are subject to export controls. These Terms of Use are governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania without giving effect to principles of conflicts of law. Integration, Amendment, and Severability
Please note that these Terms of Use, including the Himalayan Institute’s Privacy Policy which is incorporated in these Terms, constitute the entire legal agreement between you and the Himalayan Institute and govern your use of the Himalayan Institute Website Services (but excludes any services, if any, that the Himalayan Institute may provide to you under a separate signed written agreement), and completely replaces any prior agreements between you and the Himalayan Institute in relation to the Himalayan Institute Website Services. These Terms may not be amended or varied except in a writing signed by the Himalayan Institute. Returns
Our policy lasts 30 days. If 30 days have gone by since your purchase, unfortunately we can’t offer you a refund or exchange.
To be eligible for a return, your item must be unused and in the same condition that you received it. It must also be in the original packaging.
Several types of goods are exempt from being returned. Perishable goods such as food, flowers, newspapers or magazines cannot be returned. We also do not accept products that are intimate or sanitary goods, hazardous materials, or flammable liquids or gases.

If you haven’t received a refund yet, first check your bank account again.
Then contact your credit card company, it may take some time before your refund is officially posted.

Only regular priced items may be refunded, unfortunately sale items cannot be refunded.
Exchanges (if applicable)

Gifts
If the item was marked as a gift when purchased and shipped directly to you, you’ll receive a gift credit for the value of your return. Once the returned item is received, a gift certificate will be mailed to you.
If the item wasn’t marked as a gift when purchased, or the gift giver had the order shipped to themselves to give to you later, we will send a refund to the gift giver and they will find out about your return.

You will be responsible for paying for your own shipping costs for returning your item. Shipping costs are non-refundable. If you receive a refund, the cost of return shipping will be deducted from your refund.
Depending on where you live, the time it may take for your exchanged product to reach you, may vary.
If you are shipping an item over $75, you should consider using a trackable shipping service or purchasing shipping insurance. We don’t guarantee that we will receive your returned item.

We may disclose your personal information if we are required by law to do so or if you violate our Terms of Service.
SECTION 4 – SHOPIFY
Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.
Your data is stored through Shopify’s data storage, databases and the general Shopify application. They store your data on a secure server behind a firewall.
Payment:
If you choose a direct payment gateway to complete your purchase, then Shopify stores your credit card data. It is encrypted through the Payment Card Industry Data Security Standard (PCI-DSS). Your purchase transaction data is stored only as long as is necessary to complete your purchase transaction. After that is complete, your purchase transaction information is deleted.
All direct payment gateways adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express and Discover.

RESELLER
TERMS AND CONDITIONS
SECTION 1 – OFFER TERMS. This writing constitutes an offer or counter-offer by The Himalayan Institute (“Seller”) to sell products described herein in accordance with these terms and conditions. Seller objects to any additional or different terms contained in any purchase order or other communication previously or hereafter provided by Buyer to Seller. No additional or different terms or conditions will be binding upon Seller unless specifically agreed to in writing.
SECTION 2 – ORDER TERMS. To approve a wholesale status order of 20% discount on Neti Products, 40% discount on HIP Products and Health Products the retail value of the wholesale order must reach a $200 threshold. Once Buyer reaches the minimum amount the referenced discounts apply to the total balance.
SECTION 3 – PAYMENT TERMS. Payment is at time of purchase, before shipping, unless credit is approved. To approved credit, payment terms are net 30 or net 60 days from the date shown on Seller’s invoice. Buyer expressly waives any contingent payment terms. Nothing will require Seller to continue performance if timely payments are not made to Seller for products sold. Buyer will pay all costs of collection, including court and reasonable attorney fees to collect delinquent balances. There will be a $30 processing fee for all checks returned by the bank for any reason. When a check is returned, Seller reserves the right to require payment by cash or certified funds.
SECTION 4 – SHIPPING TERMS. Freight charges are responsibility of the Buyer. If the order total balance reaches $1,000 in discounted pricing and shipped within the USA, freight responsibility transfers to the Seller.
SECTION 5 – RETURNS. Special order materials are non-returnable. Authorized returns of in-stock materials in good saleable condition are credited at invoice price less restocking (20%) and freight/handling charges. Saleable condition means new merchandise in original, undamaged and unmarked boxes returned within 30 days. All items purchased by credit card will be credited to the original credit card only.
